Terms of Use

These Terms of Use ("Terms") govern access to and use of ExhibIQ (the "Service"), operated by ExhibIQ ("we," "us"). By creating a venue account, accessing the curator or superadmin console, or using the visitor chat as part of a museum, gallery, or similar venue's exhibit guide, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

ExhibIQ lets a venue upload information about its exhibits and lets visitors ask an AI guide questions about a specific exhibit, answered only from material that venue's own curator has provided. Optional features (voice mode, offline downloads, visitor analytics, and others) may be included or excluded depending on a venue's subscription plan.

2. Accounts

A curator or superadmin account must be created with accurate information and kept secure -- you're responsible for all activity under your account and for promptly notifying us of any unauthorized use. Visitors do not create accounts; a visitor's access is tied to a time-limited activation code issued by a venue.

3. Acceptable use

You agree not to: upload content you don't have the right to use; use the Service to violate any law or infringe anyone's rights; attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service or another venue's data; use automated means to scrape or overload the Service beyond normal use; or use the visitor chat to submit content that is unlawful, abusive, or intended to manipulate the AI guide into behavior outside its intended purpose.

4. Venue content and ownership

A venue retains ownership of the exhibit material, images, and other content it uploads ("Venue Content"). By uploading Venue Content, a venue grants us a license to host, process, and display it solely to operate the Service for that venue -- including generating AI answers from it, indexing it for retrieval, and (where a curator enables the relevant feature) making it available for visitor offline download. We do not use one venue's Venue Content to answer questions for, or otherwise benefit, any other venue.

5. AI-generated answers

The Service uses AI to generate answers grounded in a venue's own uploaded material. While the Service is designed to answer only from that material and to say so when it lacks relevant information, AI-generated answers may occasionally be incomplete, out of date, or inaccurate. Answers are provided for informational and educational purposes and should not be relied upon as the sole source of curatorial, historical, scientific, safety, or other authoritative information. A venue is responsible for reviewing the material it uploads and for the accuracy of the knowledge it makes available to the guide.

6. Subscriptions and billing

Paid plans are billed in advance on the billing cycle selected at signup and, unless stated otherwise, renew automatically until cancelled. Prices, included features, and applicable taxes are shown at checkout and on our pricing page. A free trial, where offered, converts to a paid subscription at the end of the trial period unless cancelled beforehand. You can cancel at any time from the account/billing area of the console; cancellation takes effect at the end of the current billing period unless otherwise required by law.

7. Our intellectual property

The Service itself -- its software, design, and the ExhibIQ name and logo -- is owned by ExhibIQ and protected by intellectual property law. These Terms don't grant you any right to use our branding except as necessary to use the Service as intended (for example, printing an activation-code card that shows your own venue's name and a QR code).

8. Suspension and termination

We may suspend or terminate access to the Service for a venue that violates these Terms, fails to pay applicable fees, or where we reasonably believe continued access would create legal or security risk. A venue may stop using the Service at any time; sections of these Terms that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will continue to apply.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED ANSWERS WILL BE ACCURATE OR COMPLETE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ExhibIQ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

11. Indemnification

You agree to indemnify and hold ExhibIQ harmless from any claim arising from Venue Content you upload, your violation of these Terms, or your violation of any law or third-party right.

12. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law principles, and any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in India. 13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify curators directly. Continued use of the Service after a change becomes effective constitutes acceptance of the updated Terms.
